2. Engagement Structure

  • Ongoing Infrastructure and Advisory

Specific scope, deliverables, timelines, and fees are defined in separate agreements, proposals, or statements of work (SOWs).

If there is a conflict between these Terms and a signed agreement, the signed agreement governs.

3. No Guarantee of Outcomes

uMorphos provides analysis, recommendations, and implementation support.

We do not guarantee:

  • Financial outcomes or savings
  • Grant funding or approval
  • Regulatory or audit outcomes
  • Operational performance improvements

Results depend on factors outside our control, including client execution, data quality, and external conditions.

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information
  • Maintain internal ownership and decision-making authority
  • Implement recommendations or systems as required
  • Ensure compliance with applicable laws and regulations

uMorphos is not responsible for outcomes resulting from incomplete, inaccurate, or delayed information.

5. Data and Information Use

You retain ownership of all data you provide.

You grant uMorphos a limited right to use your data to:

  • Perform Services
  • Analyze operational and financial structures
  • Develop recommendations and deliverables

We may use aggregated and anonymized data to improve our methodologies, tools, and services.

We do not sell your data.

6. Use of AI and Technology

uMorphos may use AI, automation, and data processing tools in delivering Services.

These tools may assist with:

  • Data analysis
  • Pattern recognition
  • System design recommendations

Outputs are subject to review and are not solely relied upon without oversight.

You acknowledge that AI-assisted outputs may contain limitations or inaccuracies.

7. Confidentiality

Both parties agree to maintain confidentiality of non-public, proprietary, or sensitive information.

Confidential information will not be disclosed to third parties except:

  • As required to deliver Services
  • With prior authorization
  • As required by law

This obligation survives termination of Services.

8. Intellectual Property

All frameworks, methodologies, templates, systems, and tools developed or used by uMorphos remain our intellectual property.

Clients are granted a limited, non-transferable right to use deliverables for internal purposes.

You may not reproduce, distribute, or commercialize uMorphos materials without written consent.

9. Fees and Payment

Fees are defined in applicable agreements or SOWs.

Unless otherwise specified:

  • Payments are due according to agreed terms
  • Late payments may result in suspension of Services
  • Fees are non-refundable once Services have begun

Additional work outside scope may require a separate agreement.

10. Limitation of Liability

To the maximum extent permitted by law:

uMorphos is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption

Our total liability is limited to the fees paid for the Services giving rise to the claim.

11. Indemnification

You agree to indemnify and hold uMorphos harmless from any claims, damages, or liabilities arising from:

  • Your use of the Services
  • Your data or information
  • Your failure to comply with applicable laws

12. Third-Party Tools and Services

We may use or integrate third-party tools (e.g., scheduling platforms, analytics, software).

We are not responsible for the performance, security, or practices of third-party providers.

13. Termination

We may suspend or terminate Services if:

  • You breach these Terms
  • Payment obligations are not met
  • Continued engagement presents legal or operational risk

You may terminate Services in accordance with your agreement or SOW.

Continued use of Services constitutes acceptance of the updated Terms.
